End User License Agreement

Version 1.0 · Effective October 16, 2026

This End User License Agreement ("Agreement") is between Foster Audio LLC ("Licensor," "we," "us") and the church or organization that subscribes to ProductionDeck ("Licensee," "you"). By installing, activating, or using ProductionDeck, you agree to this Agreement. If you do not agree, do not install or use the software.

The person accepting this Agreement represents that they are authorized to bind the Licensee. Our Privacy Policy explains what information we and the Software handle.

1. Definitions

2. License grant

Subject to this Agreement and payment of the applicable fees, we grant the Licensee a limited, non-exclusive, non-transferable, non-sublicensable, revocable license, for the duration of the Subscription, to install and use the Software on Apple Mac computers, for the Licensee's internal ministry and production operations at the licensed Campus.

Within a licensed Campus there is no limit on the number of Macs or Authorized Users. Use by Authorized Users away from the Campus (for example, preparing a service from home or monitoring through the Software's web remote) is permitted when it supports that Campus's services.

3. Subscriptions and Campuses

3.1. One Subscription per Campus. Each Subscription covers exactly one Campus. A multi-site church or organization must hold a separate Subscription for every physical Campus that uses the Software.

3.2. No sharing across Campuses. A Subscription may not be used for, or shared with, any other Campus, church, or organization, even a related one. Using the Software at an unlicensed Campus is a breach of this Agreement.

3.3. Relocation. If a Campus moves to a new physical location, the Subscription continues for the relocated Campus. If a Campus splits into two or more locations, each location needs its own Subscription.

3.4. Fees and billing. Fees are those shown at the time of purchase or on our current price list at www.productiondeck.io/pricing, billed monthly or annually in advance, as the Licensee chooses at purchase. Orders are placed through our reseller, Polar Software, Inc. ("Polar"), which acts as merchant of record and handles payment, sales tax, receipts, and refunds; Polar's buyer terms also apply to the purchase. Fees are non-refundable except where required by law or stated in writing by us. Fees exclude taxes, which are the Licensee's responsibility. We may change prices for future renewal periods with at least 30 days' notice.

3.5. Renewal and cancellation. Subscriptions renew automatically for successive periods equal to the initial period unless canceled before the next renewal date. The Licensee may cancel at any time online at www.productiondeck.io/cancel, or by emailing support@productiondeck.io from the email address on the account. Cancellation takes effect at the end of the current paid period, and the Software keeps working until then.

3.6. Non-payment. If payment fails, we may suspend or terminate the Subscription after notice and a reasonable opportunity to cure.

3.7. Verification. We may use license keys, activation checks, or similar mechanisms to confirm that the Software is used within the scope of the Subscription. We may reasonably ask the Licensee to confirm the Campus or Campuses where the Software is used.

4. Restrictions

The Licensee and Authorized Users will not, and will not permit others to:

  1. copy, sell, rent, lease, lend, sublicense, distribute, or otherwise make the Software available to anyone outside the licensed Campus's Subscription;
  2. reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software, except to the extent applicable law expressly permits despite this restriction;
  3. modify or create derivative works of the Software;
  4. remove or alter any copyright, trademark, or other proprietary notices;
  5. circumvent or interfere with license verification, activation, or any technical limitation or safeguard in the Software, including the default-off protection on live-control actions;
  6. use the Software to build a competing product or service;
  7. use the Software in violation of law or the terms of any Third-Party Service; or
  8. publish benchmarks, or extract or redistribute the Software's built-in credentials, API client identifiers, or other embedded resources.

5. Ownership

The Software is licensed, not sold. We and our licensors own all right, title, and interest in the Software, including all intellectual property rights. The Software is protected by copyright and other laws. No rights are granted except those expressly stated in this Agreement. The Licensee owns its own data (service plans, checklists, settings, and similar content it creates or imports).

6. Feedback

If the Licensee gives us suggestions or feedback about the Software, we may use them without obligation or compensation to the Licensee.

7. Third-Party Services and trademarks

7.1. The Software connects to Third-Party Services that we do not own or control. The Licensee must hold its own valid accounts, licenses, and credentials for them, and must comply with their terms. Their availability, features, and APIs may change or end without notice, and some features may stop working as a result. We are not responsible for Third-Party Services.

7.2. All third-party names and marks are the property of their owners. ProductionDeck is not affiliated with, endorsed by, or sponsored by those owners.

7.3. Credentials the Licensee enters are stored on the Licensee's Mac in the macOS Keychain. The Licensee is responsible for safeguarding its Macs, accounts, and network.

7.4. Open-source or third-party components, if any, that are included in the Software remain under their own licenses, which are listed at www.productiondeck.io/third-party-notices.

8. Live production, safety, and measurement disclaimers

8.1. Live-control actions. Some features can control equipment or services during a live event. Those actions are disabled by default. By enabling them the Licensee accepts responsibility for their use, including operator training, backup procedures, and having a manual fallback. The Software is an aid and must not be the sole means of operating or monitoring a live service.

8.2. Status information. Indicators, timers, stream and equipment status, chat, and similar information may be delayed, incomplete, or wrong, particularly when a Third-Party Service offers no official status interface. The Licensee should verify critical information independently.

8.3. Sound level measurement. The SPL and loudness features are provided for general monitoring. Unless used with a calibrated measurement device and procedure, they are not a calibrated instrument and must not be relied on for hearing-safety, regulatory, or legal compliance.

8.4. Simulated data. Mock and simulated modes display sample data and are labeled as such. They do not reflect real equipment or services.

9. Privacy and data

9.1. The Software is local-first. We do not collect the Licensee's service plans, credentials, or production data. The current version of the Software sends us no license-activation, update-check, crash-report, or analytics data. A future version will add license activation that occasionally contacts our servers to confirm the Subscription is active; before that version is released, we will describe what it sends in our Privacy Policy.

9.2. When the Licensee connects a Third-Party Service, the Software exchanges data directly between the Licensee's Mac and that service. That data is governed by the Licensee's agreement with the service.

9.3. Diagnostics exports are generated locally with secrets redacted. The Licensee decides whether to share them with us. We use shared diagnostics only to support and improve the Software.

9.4. YouTube and Google user data. The Software's YouTube features use YouTube API Services. By using them, the Licensee and its Authorized Users agree to be bound by the YouTube Terms of Service, and Google's handling of their data is governed by the Google Privacy Policy. The Software requests read-only access to the connected YouTube account, keeps the YouTube data it receives only in the Mac's memory, and never sends it to us or to anyone else. ProductionDeck's use and transfer of information received from Google APIs adheres to the Google API Services User Data Policy, including the Limited Use requirements. Access can be revoked at any time in the Software (Settings → YouTube Live → Disconnect) or at Google's security settings. Our Privacy Policy at www.productiondeck.io/privacy describes in detail what the Software accesses and how that data is stored, used, shared, and deleted.

10. Updates and support

We may release updates and may change, add, or remove features. Updates are governed by this Agreement unless they come with a separate license. Support is provided through support@productiondeck.io on a reasonable-efforts basis, without any guaranteed response time, unless we agree otherwise in writing. We are not required to support older versions or to keep any particular Third-Party Service integration working.

11. Term and termination

11.1. This Agreement lasts as long as the Licensee holds an active Subscription.

11.2. Either party may terminate for the other's material breach that remains uncured 30 days after written notice. We may terminate immediately for a breach of Section 3 (Campuses) or Section 4 (Restrictions).

11.3. On expiration or termination, the license ends and the Licensee must stop using the Software and delete all copies. The Licensee's own data stays with the Licensee. Sections 4–8, 12–14, and this Section 11.3 survive termination.

12. Warranty disclaimer

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND UNINTERRUPTED OR ERROR-FREE OPERATION. WE DO NOT WARRANT THAT THE SOFTWARE WILL MEET THE LICENSEE'S REQUIREMENTS OR WORK WITH ANY PARTICULAR THIRD-PARTY SERVICE OR EQUIPMENT. SOME JURISDICTIONS DO NOT ALLOW CERTAIN DISCLAIMERS, SO PARTS OF THIS SECTION MAY NOT APPLY TO YOU.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DONATIONS, LOST DATA, OR SERVICE INTERRUPTIONS, INCLUDING FAILED OR DISRUPTED STREAMS, SERVICES, OR EVENTS, ARISING FROM OR RELATED TO THE SOFTWARE, EVEN IF ADVISED OF THEIR POSSIBILITY. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SOFTWARE WILL NOT EXCEED THE FEES THE LICENSEE PAID FOR THE AFFECTED SUBSCRIPTION IN THE 12 MONTHS BEFORE THE CLAIM AROSE. THESE LIMITS APPLY REGARDLESS OF THE LEGAL THEORY AND EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE, BUT DO NOT LIMIT LIABILITY THAT CANNOT BE LIMITED BY LAW.

14. General

14.1. Governing law. This Agreement is governed by the laws of the State of Texas, without regard to conflict-of-law rules. The courts located in Angelina County, Texas have exclusive jurisdiction, except that either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property.

14.2. Assignment. The Licensee may not assign or transfer this Agreement or the Subscription without our written consent. We may assign this Agreement in connection with a merger, acquisition, or sale of assets.

14.3. Export and compliance. The Licensee will comply with applicable export and sanctions laws.

14.4. Changes to this Agreement. We may update this Agreement for future renewal periods by giving at least 30 days' notice. Continued use after the effective date of the update means acceptance. If the Licensee does not accept, it may cancel under Section 3.5.

14.5. Entire agreement. This Agreement, with any order or invoice, is the entire agreement about the Software and replaces prior understandings. If a provision is unenforceable, the rest remains in effect. Failure to enforce a provision is not a waiver. Notices to us go to support@productiondeck.io or Foster Audio LLC, 184 Alvie Ln, Pollok, TX 75969; notices to the Licensee go to the contact on its account.

14.6. Prior versions. Versions of the Software released before October 16, 2026 under the MIT License remain available under that license to those who received them. This Agreement governs all versions released on or after that date and all use of the Software under a paid Subscription.
